1. Parties and scope
1.1 These terms (the "Terms") apply between [Bolagsnamn AB], organisation number [Organisationsnummer] ("ekonomimcp", "we"), and the legal entity or business that creates an account or uses the Service (the "Customer").
1.2 The Terms are accepted when the Customer creates an account, connects a company or starts using the Service. A person who accepts the Terms on the Customer's behalf confirms that they are authorised to represent the Customer.
1.3 The Service is sold only to businesses. Consumer protection legislation, such as the Swedish Distance Contracts Act (distansavtalslagen), therefore does not apply.
1.4 The Data Processing Agreement forms part of the Terms. In the event of conflict, the Data Processing Agreement prevails in matters of personal data and the Terms prevail in all other respects.
1.5 If the Customer has purchased the Service through Fortnox, Fortnox's terms for integrations apply first. These Terms then apply as a supplement, and not to the extent that they are less favourable to the Customer than Fortnox's terms.
2. Definitions
- The Service: ekonomimcp's service that gives AI clients access to the Customer's data in Fortnox through the Model Context Protocol (MCP), with the associated website, dashboard and approval pages.
- User: a person whom the Customer lets use the Service, for example an employee or an engaged accounting consultant.
- AI client: an AI assistant or other software that the Customer or a User connects to the Service, for example Claude or ChatGPT.
- Fortnox: the business system provided by Fortnox AB, with which the Customer has its own agreement.
- Customer Data: data that the Service retrieves from or sends to the Customer's Fortnox, and data that the Customer provides in the Service.
- Subscription: the Customer's paid right to use the Service for one or more companies under the chosen plan.
3. The Service
3.1 The Service enables AI clients to read and, to the extent the Customer allows, create and change data in the Customer's Fortnox. Answers and suggestions are formulated by the AI client the Customer has chosen. ekonomimcp provides the tools, the permission checks, the bookkeeping checks and the approval flow, but not the AI model.
3.2 To use the Service, the Customer needs a valid agreement with Fortnox AB, including the Integration licence (Integrationslicens) and the licence modules required, and an agreement with the provider of the AI client the Customer uses. ekonomimcp is not a party to these agreements and is not responsible for them.
3.3 ekonomimcp is an independent service and not a product of Fortnox AB, Anthropic, OpenAI or Microsoft. Fortnox is a trademark of Fortnox AB.
3.4 We may develop and change the Service, for example add, change or remove tools. Changes that materially degrade the Service are announced in accordance with section 15.
4. Account and users
4.1 Accounts are created by signing in with Fortnox. The Customer is responsible for which Users connect the Customer's company and for their permissions in Fortnox being correct.
4.2 The Customer is responsible for the choices made when an AI client is connected: which companies it gets access to, the access level (Read, Draft or Full) and how irreversible actions are to be approved.
4.3 The Customer shall keep sign-in details and devices protected and notify us without delay if unauthorised use is suspected. Actions performed with the Customer's connections are deemed to have been performed by the Customer.
5. Trial and subscription
5.1 Each company that is connected gets a free trial of 30 days from the first connection. The trial applies once per company in Fortnox and does not require a payment card. When the trial has ended, AI clients can no longer work in the company until a Subscription has been taken out.
5.2 Subscriptions are taken out per company under the Start and Pro plans, or for several companies under the Byrå plan. The Subscription is paid in advance per month or per year and renews automatically for a new period of the same length.
5.3 The Customer can cancel the Subscription at any time in the dashboard. The cancellation takes effect at the end of the period that has been paid for, and the Service can be used until then. Fees paid are not refunded, except under section 14.4.
5.4 The Customer can change plan or add companies during a period. The change is charged or credited pro rata unless otherwise stated at the time of the change.
6. Fees and payment
6.1 The fees are shown in the price list on the website when the Subscription is taken out and are stated excluding VAT. VAT is added according to law.
6.2 Payment is made by payment card or by another method offered at the time of purchase, through our payment service provider Stripe. For payment by invoice, 30 days' payment terms apply unless otherwise stated on the invoice.
6.3 In the event of late payment, we are entitled to interest on late payment under the Swedish Interest Act (räntelagen) and a statutory reminder fee. If a fee remains unpaid more than 14 days after a reminder, we may suspend the Service for the companies concerned until payment has been made.
6.4 We may change the fees with at least 30 days' notice. The change applies from the next period after the notice period. The Customer may cancel the Subscription before the change takes effect.
6.5 The fee for the Fortnox Integration licence and for the Customer's AI client is paid to the respective provider and is not included in the fee for the Service.
7. The Customer's responsibility
7.1 The bookkeeping is the Customer's responsibility. The Customer is obliged to keep accounts and is responsible for everything that is booked, sent, registered or changed in the Customer's Fortnox through the Service, even when an AI client has suggested it.
7.2 AI output must be reviewed. AI clients can misunderstand questions and give incorrect answers. The Customer shall review answers, calculations and suggestions before they are used, and review the content of the approval page before an action is approved. The bookkeeping check that the Service performs does not replace the Customer's review.
7.3 No advice. The Service and the answers given through it do not constitute accounting, tax, legal or financial advice. The Customer should engage a qualified adviser when needed.
7.4 The Customer is responsible for having the right to let the Service process Customer Data, for complying with Fortnox's terms and the AI provider's terms, and for the Customer's use being in accordance with law.
7.5 The Customer chooses which AI client is used and which plan with the AI provider applies. Customer Data that an AI client reads via the Service is processed by the AI provider under the Customer's agreement with that provider.
8. Acceptable use
The Customer and the Users may not:
- attempt to circumvent access levels, approvals, rate limits or other safeguards in the Service,
- access or attempt to access other customers' data or accounts,
- decompile or reverse engineer the Service, beyond what follows from mandatory law,
- load the Service in a way that degrades it for others, for example through automated load testing,
- use the Service to process data that the Customer has no right to process, or for unlawful purposes,
- resell or provide the Service to third parties without a written agreement with us.
Accounting firms may use the Service on behalf of their clients, provided that the firm has the client's engagement and the right to do so.
9. Availability and support
9.1 We aim for the Service to be available around the clock and fix faults as soon as we can. The Service is provided as is and without guaranteed availability, unless a service level has been agreed in writing.
9.2 The Service depends on Fortnox and on the Customer's AI client. Interruptions, changes or limitations on their part are beyond our control.
9.3 Planned maintenance is carried out as far as possible at times of low usage.
9.4 Support is provided in Swedish by e-mail to support@ekonomimcp.se on Swedish business days.
10. Personal data and confidentiality
10.1 When we process personal data in Customer Data on the Customer's behalf, we are the processor and the Customer is the controller. The processing is governed by the Data Processing Agreement. How we process personal data as controller is described in the Privacy policy.
10.2 Each party shall keep the other party's confidential information secret and use it only to perform the agreement. The obligation does not apply to information that is publicly known, that the party already had, or that the party must disclose by law or a decision of an authority. The obligation applies for three years after the agreement has ended.
11. Intellectual property
11.1 All rights to the Service, including software, tools, documentation and trademarks, belong to [Bolagsnamn AB] or its licensors.
11.2 During the term of the agreement, the Customer receives a non-exclusive right to use the Service for its internal business in accordance with the Terms.
11.3 Customer Data belongs to the Customer. We use Customer Data only to provide the Service to the Customer, and never to train AI models or for our own purposes.
11.4 If the Customer provides suggestions or feedback on the Service, we may use them freely and without compensation.
12. Limitation of liability
12.1 We are not liable for indirect or consequential damage, such as loss of profit, lost revenue, loss of data, costs of troubleshooting or liability to third parties.
12.2 We are not liable for answers, calculations or suggestions formulated by AI clients, for actions that the Customer or a User has approved or that were performed in an approval mode the Customer has chosen, or for faults and interruptions at Fortnox, AI providers or other third parties.
12.3 Our total liability under the agreement is limited to the amount the Customer has paid for the Service during the twelve months immediately preceding the event giving rise to the claim.
12.4 The limitations do not apply in the event of intent or gross negligence.
12.5 Claims must be made in writing within three months from when the Customer discovered or should have discovered the grounds for the claim. Otherwise the right to make the claim is lost.
13. Suspension
We may temporarily suspend the Customer, a User or a connection, in whole or in part, if:
- it is necessary to avert a security risk to the Service, the Customer or other customers,
- the Customer breaches section 8 or otherwise materially breaches the Terms,
- fees are unpaid under section 6.3, or
- we are required to by law or a decision of an authority.
The suspension shall be proportionate to the reason. We notify the Customer in advance when possible and lift the suspension when the reason no longer applies.
14. Term and termination
14.1 The agreement applies from when the Customer accepts the Terms until it is terminated.
14.2 The Customer may terminate the agreement at any time. An ongoing Subscription then continues until the end of the period.
14.3 We may terminate the agreement with 30 days' notice. We may terminate the agreement with immediate effect if the Customer materially breaches the Terms and has not remedied the breach within 14 days of a written request.
14.4 If we terminate the agreement without the Customer having breached it, we refund the part of fees paid in advance that relates to the time after termination.
14.5 When the agreement ends, the Customer's connections are disabled, the Fortnox authorisations are revoked and we delete the Customer's data within 30 days, except for data we are required by law to keep, for example accounting records for our own invoices. Before the agreement ends, the Customer may request a copy of the event log.
15. Changes
15.1 We may change the Terms. Material changes are announced by e-mail to the account's address at least 30 days before they take effect. Changes required by law or that are not to the Customer's disadvantage may take effect earlier.
15.2 If the Customer does not accept a material change, the Customer may terminate the agreement before the change takes effect.
16. Force majeure
Neither party is liable for failure to perform the agreement that is due to circumstances beyond the party's control, such as war, action by authorities, extensive cyberattacks, strikes, natural disasters or interruptions at providers of electricity, networks, hosting, Fortnox or AI services.
17. Assignment
The Customer may not assign the agreement without our written consent. We may assign the agreement to a company in the same group or to whoever takes over the Service, provided that the Terms and the Data Processing Agreement continue to apply.
18. Governing law and disputes
Swedish law applies to the agreement. Disputes shall be settled by the Swedish general courts.
